GCExperts AI — Terms of Use

Applies to: Every AI agent operated by GCExperts LLC, including (without limitation) Trip (project manager / federal contractor concierge), Rudy (estimator), Sam (registration and SAM.gov assistance), Johnny (BidTrakker support concierge), Mack (lead intake and outreach), Jake (Windows automation assistant), and any successor, supervisor, replacement, or additional AI agent that emails, calls, texts, chats, or otherwise communicates from a gcexperts.com, gcexperts.ai, bidtrakker.com, or affiliated address or phone number.

By replying to any GCExperts AI agent, by clicking the "I Agree" button on this page, or by continuing to use any service, tool, or correspondence provided by a GCExperts AI agent, you ("You" or the "User") accept these Terms of Use in their entirety. If you do not agree, stop replying to our AI agents and notify us at [email protected].


1. What Our AI Is — and Is Not

GCExperts operates a fleet of automated AI agents. Each agent is a software program built on large language models, vision models, and supporting tools. The agents read, draft, and send email; place and answer telephone calls; build cost estimates and bid recommendations; review documents; and provide general business and contracting guidance.

Our AI agents are not licensed attorneys, certified public accountants, financial advisors, medical professionals, professional engineers, surveyors, or licensed contractors. Nothing produced by a GCExperts AI agent is legal advice, accounting advice, investment advice, tax advice, medical advice, engineering advice, surveying advice, or licensed contracting advice — even when it sounds like it.

Every estimate, recommendation, draft, summary, opinion, scope analysis, comparable-award lookup, scheduling suggestion, or other output produced by a GCExperts AI agent is provided as-is, as an aid only, and is intended to be reviewed, sanity-checked, and approved by you, your team, and your own licensed professionals before it is acted on.

Each GCExperts AI agent is built around a defined product scope — Trip handles bid strategy and negotiation, Johnny handles BidTrakker platform support and concierge work, and so on for the rest of the fleet. From time to time an agent may receive a question that falls outside its scope. When that happens, the agent will either (i) tell you the question is outside its scope and decline to answer, (ii) refer you to a different GCExperts agent whose scope covers the question, or (iii) — when the agent is capable of helping and you want the help — offer to handle the request as an out-of-scope billable task under the fee structure described in Section 8. The agent will disclose, in advance, that the work is out-of-scope and billable, and will only proceed if you explicitly agree.

2. AI Limitations You Acknowledge

You acknowledge and agree that:

(a) AI makes mistakes. Large language models can hallucinate facts, miscalculate numbers, misread documents, confuse parties, omit critical clauses, and misunderstand instructions. Vision models can misread scope-of-work pages, attachment numbers, dates, dollar figures, drawings, and quantities. We work hard to reduce errors, but errors will happen and you must verify our work before relying on it for any business decision.

(b) The world changes faster than the AI. Federal Acquisition Regulations, state and local building codes, market prices, labor costs, material costs, contracting officer contact information, set-aside policies, NAICS code applicability, SAM registration requirements, and other inputs change frequently and the AI may rely on outdated training data or stale lookups.

(c) The AI may be wrong about who you are or who is asking. When multiple people share an email address, when emails are forwarded, when correspondence is mistakenly addressed, or when the AI misclassifies a sender, output may be intended for a different recipient. Do not act on AI output that does not match your circumstances.

(d) The AI does not always know its own limits. It may answer a question outside its competence with apparent confidence. Treat every answer as a starting point for your own due diligence, never as a final answer.

(e) Bids and quotes are estimates, not promises. A bid recommendation, cost estimate, schedule projection, or pricing opinion produced by a GCExperts AI agent is the AI's good-faith best guess given the data it had at the time. It is not a guarantee of price, profit, win probability, or contract performance. Real bids you submit to a federal agency, state agency, prime contractor, or any other party are your own legal commitments — the AI is not a party to them and cannot be one.

3. No Agency, No Authority to Bind GCExperts

The GCExperts AI agents are tools, not agents (in the legal sense) of GCExperts, LLC. No AI agent — including without limitation Trip, Rudy, Sam, Johnny, Mack, Jake, and any successor or replacement AI agent — has the actual, apparent, or implied authority to enter into contracts on behalf of GCExperts, LLC, BidTrakker, or any affiliated brand; to bind GCExperts to any commitment, representation, warranty, or obligation that is not already documented in our published written Terms of Service, AI Terms of Use, Privacy Policy, current sales-and-membership pages on bidtrakker.com or gcexperts.com, or a separate signed writing executed by an authorized human officer of GCExperts, LLC.

This means, by way of example and without limitation, that no AI agent has authority to:

  1. Issue, authorize, promise, or commit to a refund of subscription fees, training fees, AI usage fees, or any other amount, except where Sean Reitmeyer (or another authorized human officer of GCExperts, LLC) has given explicit per-instance written approval for that specific refund. Refunds are not a standing entitlement and are issued, when they are issued, at GCExperts' sole discretion.
  2. Lock or guarantee a future price. No AI agent statement that a former, current, or prospective customer can come back to a particular subscription rate, tier, or plan at a future date is binding on GCExperts. Pricing at the time of any future reactivation, renewal, or new purchase is whatever GCExperts has then-currently published.
  3. Guarantee retention of customer account data, uploaded files, saved searches, tracked bids, contacts, drafts, or other content beyond the retention windows described in our published Terms and Privacy Policy. Cancelled or inactive accounts may have their content purged in accordance with our written policies; no AI agent promise of indefinite retention is enforceable against GCExperts.
  4. Guarantee same-day, expedited, no-paperwork, no-onboarding, or any other specific reactivation or service-restoration experience. Reactivation, restoration, and onboarding follow whatever process GCExperts has in place at the time of that request.
  5. Make warranty-style commitments — including any use of the words "guarantee," "ensure," "always," "forever," "lifetime," "no questions asked," "100% money-back," or similar — unless that exact commitment appears verbatim in our then-current published Terms or on a then-current GCExperts sales page.
  6. Waive, modify, or expand any provision of these Terms, the BidTrakker Terms of Service, the Privacy Policy, the Cookie Policy, or any other written GCExperts policy.
  7. Confess liability, settle claims, or release rights on behalf of GCExperts.
  8. Bind GCExperts to any future course of conduct not described in our published Terms.

3.1. Out-of-scope billable work does not expand agent authority. When an AI agent performs an out-of-scope billable task under Section 8.2 (for example, walking you through a non-BidTrakker tech issue), the agent's lack of legal authority to bind GCExperts under this Section 3 is unchanged. The out-of-scope work is provided informationally and as-is, on the same as-is, verify-before-you-act, AI-may-be-wrong basis as in-scope work, with the same liability release in Section 4 applying in full.

Anything an AI agent says, writes, or implies that goes beyond the documents listed in the first paragraph of this Section 3 is informational and conversational only. It is not a representation by GCExperts, not a warranty, not a contract amendment, and not a basis on which you may rely to your detriment. You may not assert any AI-agent statement that exceeds the published Terms as the basis for any claim, demand, lawsuit, arbitration, chargeback, regulatory complaint, or other proceeding against GCExperts or any Released Party.

How to verify what an AI agent has told you. If a GCExperts AI agent has told you something important — about pricing, refunds, account status, data retention, future service availability, reactivation, or anything else that matters to a decision you are about to make — and you are not certain that the same statement appears in our published written Terms, you must confirm in writing with [email protected] before you rely on it. A reply from a human at [email protected] confirming the specific commitment in writing is the only way an AI-agent statement that exceeds the published Terms becomes binding on GCExperts.

Stripe refunds and account-data deletions are red-line actions. They are gated to direct, per-instance, written approval from Sean Reitmeyer (or another authorized human officer). An AI agent processing a refund or a data deletion is doing so at Sean Reitmeyer's express written direction for that specific request; that authorization does not carry forward and is not delegable.

4. Hold Harmless and Release of Liability

In exchange for the right to receive correspondence and services from any GCExperts AI agent, You hereby release, waive, hold harmless, indemnify, and forever discharge the following parties (collectively, the "Released Parties") from any and all claims, demands, liabilities, losses, damages, injuries, costs, and expenses of every kind whatsoever, whether known or unknown, direct, indirect, consequential, special, exemplary, incidental, or otherwise, that arise out of or relate in any way to your use of, reliance on, or interaction with any GCExperts AI agent or its outputs:

This release applies whether your claim arises in contract, tort (including negligence), warranty, statute, regulation, or any other legal theory, and whether your alleged damages are economic loss, lost profits, lost contracts, lost bids, missed deadlines, regulatory penalties, attorneys' fees, business interruption, reputational harm, or anything else.

You alone are responsible and accountable for your decisions, actions, and results in business and in life. By using any GCExperts AI agent, you agree not to attempt to hold any Released Party liable for any decision, action, or result that you make or experience because of, in spite of, or in any other relation to your use of a GCExperts AI agent or its output, at any time, under any circumstance.

If applicable law does not permit a complete release of all of the above claims, you agree that the Released Parties' aggregate liability to you for any such claims shall not exceed the lesser of (i) the amount you have actually paid GCExperts in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) one hundred dollars (US$100.00).

5. Verify Before You Act

Before submitting any bid, signing any contract, transmitting any document to a federal or state agency, prime contractor, subcontractor, or third party, or making any business or financial decision based on output from a GCExperts AI agent, you agree to:

(a) Read the AI's output carefully and in full;

(b) Independently verify all facts, figures, dates, names, dollar amounts, scope items, quantities, deadlines, contact information, and regulatory citations;

(c) Consult licensed professionals (attorney, CPA, professional engineer, contractor, etc.) for matters within their respective domains; and

(d) Apply your own professional judgment as the responsible business owner or decision-maker.

If you act on AI output without performing the verification steps above, you accept full responsibility for any errors, omissions, or losses that result.

6. Authorized Use

You represent and warrant that:

(a) You are at least eighteen (18) years old and have legal capacity to enter into this agreement;

(b) Any business you represent has authorized you to enter into this agreement on its behalf;

(c) The email address from which you are corresponding belongs to you (or to a business you represent) and is not used to impersonate another person or entity;

(d) You will not attempt to extract, copy, or reverse-engineer the GCExperts AI system, its prompts, its training data, or its underlying models for the purpose of building a competing product;

(e) You will not use the GCExperts AI to generate content that is unlawful, defamatory, harassing, fraudulent, threatening, infringing of third-party rights, or in violation of federal contracting regulations; and

(f) You will not flood, abuse, denial-of-service, or otherwise misuse the AI agents.

GCExperts may suspend or terminate your access to any AI agent at any time, with or without notice, for any reason or no reason, and without liability.

7. Data, Privacy, and Confidentiality

Correspondence with GCExperts AI agents — including email content, attachments, voice recordings, transcripts, phone numbers, voice samples, and metadata — may be stored, indexed, processed by third-party model providers, used to improve our services, and retained for record-keeping and legal-compliance purposes. We will not deliberately disclose your specific business information to unrelated third parties for marketing purposes. We make no representation that the AI's processing of your data is HIPAA-compliant, attorney-client privileged, ITAR-compliant, or otherwise protected by any specialized legal privilege. Do not send a GCExperts AI agent any information you would not want stored, processed, or shared with our model providers. 8. Fees and Payment

Some interactions with our AI agents are free; others incur fees. Fee arrangements are described in the agent's correspondence and on https://bidtrakker.com/balance, where you may at any time view your current balance, recent ledger, top up your balance, or configure automatic top-up.

8.1. In-scope work is included in your plan.

Interactions that are within the agent's product scope — for Johnny, that includes login help, password resets, sync-tool installation, navigating the BidTrakker website, walking through bids and solicitations, account and billing questions, and routine BidTrakker support; for Trip, in-scope means bid-finding strategy and bid-negotiation work for active members; and so on for the rest of the fleet — are covered by your existing GCExperts plan or BidTrakker membership.

8.2. Out-of-scope work is billed wall-clock.

When an AI agent is willing to help with a question that falls outside its product scope (for example, when Johnny helps you configure a home or office printer, troubleshoot a personal Wi-Fi issue, fix a desktop computer problem, or otherwise act as general technical support for an issue unrelated to BidTrakker), the agent will disclose the out-of-scope status to you before doing the work, and — only if you agree — will perform the work and bill it as an out-of-scope task. The billing rate for all out-of-scope AI-agent work is two hundred ten US dollars (US$210) per wall-clock hour of agent time, billed in seconds with no minimum, no rounding, and no markup over actual time spent. The charge is debited from your /balance at task completion and recorded in the ledger visible on https://bidtrakker.com/balance.

8.3. You may decline.

You are never required to accept an out-of-scope billable task. If you decline, the agent will simply tell you the question is out of scope and either refer you to a more appropriate resource or end the thread. There is no penalty for declining.

8.4. Auto-top-up.

If you have configured automatic top-up on /balance and your balance falls below your configured threshold, your saved payment method will be charged for your configured top-up amount automatically. You may change or disable auto-top-up at any time from /balance.

8.5. Negative balances.

If your balance drops below zero — including as a result of out-of-scope billable tasks — our AI agents will, depending on the agent and the context, either pause until you top up, decline further billable work, or continue on credit and present an invoice for settlement. Account-level handling of negative balances is at GCExperts' discretion.

8.6. Monthly true-up of negative balances.

On the first day of each calendar month, if your /balance is below zero — for any reason, including accumulated out-of-scope billable tasks under Section 8.2 — your saved payment method will be automatically charged the amount required to bring your balance back to zero (US$0.00). The charge will appear on your payment method as a top-up to your /balance ledger, with a corresponding credit reflected on your /balance page the same day. You may pre-empt this by topping up your balance manually at any time during the month, or by configuring a higher auto-top-up threshold under Section 8.4. If your saved payment method declines on the first of the month, GCExperts may pause further billable work, hold any pending bid documents or deliverables, and contact you about the failed charge.

All fees are payable in U.S. dollars via the payment processor we direct you to (currently Stripe). You are responsible for any taxes that apply to your purchase. Subscription credits do not roll over from cycle to cycle. Refunds, when offered, are at our sole discretion and require the per-instance human approval described in Section 3.

9. Termination of AI Access

GCExperts may stop replying to you, deprecate any specific AI agent, deprecate the entire AI fleet, or change the economics of AI access (free tiers, paid tiers, subscription pricing, included features) at any time, with or without notice. You may stop using our AI agents at any time by simply not replying. There is no termination fee.

10. No Professional Relationship

Your interaction with any GCExperts AI agent does not create an attorney-client relationship, accountant-client relationship, fiduciary duty, employer-employee relationship, joint venture, partnership, or agency relationship. The AI is an automated tool operated by GCExperts. Sean Reitmeyer, Doug Reitmeyer, and any human employee or contractor of GCExperts who happens to receive a copy of your correspondence (e.g., via BCC) is doing so in their capacity as a GCExperts operator and not as your personal advisor unless and until you have a separate signed engagement with that individual covering the scope and fees of such advice.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of any GCExperts AI agent shall be resolved by binding arbitration in Austin, Texas, in accordance with the rules of the American Arbitration Association. You waive your right to a jury trial and your right to participate in a class action. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.

12. Changes to These Terms

We may update these Terms at any time. The current version always lives at https://bidtrakker.com/ai-terms. Material changes will be announced by email to recently active correspondents. Your continued use of any GCExperts AI agent after a change to the Terms constitutes acceptance of the updated Terms.
